Combate Americas, LLC (the “Company” or “Combate Americas”) is a New York-based media and sports entertainment company operating the first Spanish-language, Mixed Martial Arts (“MMA”) franchise in The United States. The Company’s businesses include production of television programming, digital and mobile programming, and live events. The Company was created specifically to attract an underserved but very significant segment of MMA’s audience: Spanish-speaking Hispanic fans. With a vast increase in media exposure to meet the demands of die-hard fans, the sky is the limit for this red-hot industry. Given these factors, IBISWorld projects the industry will grow at a steady pace through 2018.



SportsBusiness Journal reported that MMA is the number-two favorite sport with U.S. Spanish-speaking males, 18-35, second only to soccer. Hispanics also have a deep cultural connection to boxing and Mexican wrestling; yet this market segment, which has grown by 28% in the last five years and represents one trillion dollars in buying power, does not have a Spanish-language or Hispanic-focused MMA franchise. MMA has become a multi-billion dollar business, with industry leader the Ultimate Fighting Championship (the “UFC”) reportedly valued at approximately $2 billion. The Company is well positioned at this intersection of the fastest growing sport in the world –MMA– and the fastest growing market segment in the U.S. – the Hispanic demographic.



Combate Americas brings powerful assets to the MMA business; including a media deal with NBCUniversal’s mun2, the leading Hispanic cable network for adults 18-34; music superstar Daddy Yankee, who has taken on the role of Combate Americas League Commissioner; a blue-chip ownership team consisting of UFC co-founder Campbell McLaren; Major League Baseball Advanced Media (MLBAM); leading talent agency Creative Artists Agency (CAA); reality television pioneer Bunim/Murray Productions (MTV’s The Real World, E! Entertainment’s Keeping up with the Kardashians) and Andurand Capital; and the North American rights to Mexico Fighter SA, the premier MMA franchise of Mexico.

The Company has produced a 10-episode reality series, Combate Americas, which premiered nationally on February 23, 2014, in approximately 40 million homes on NBCUniversal’s mun2. The story- and conflict-driven reality series has created viewer interest in the fighters. It introduces fans to the athletes of Combate Americas and serves as a reality competition for up-and-coming fighters to win a contract with the franchise’s talent roster.



Fans’ desire to see the outcomes of the rivalries and matchups built during the reality series will be used to promote future pay-per-view events. The reality series builds stars by manufacturing conflict, creating distinct heroes and villains and humanizing the members of the cast by telling their compelling backstories that will help facilitate a strong, personal connection between the athletes and the audience. . The story-driven conflicts will focus on visceral Hispanic cultural themes, such as the immigrant experience portrayed by fighters from Mexico, who arrive in the U.S. and subsequently experience a culture shock while trying to assimilate to the fast-paced, big city lifestyle in Miami.  Storylines will be rich in potential culture-based conflicts.

Combate Americas, LLC has engaged InvestAmerica Capital Advisors (securities offered through International Assets Advisory, LLC, member FINRA/SIPC) (“InvestAmerica”) as its exclusive private placement agent to assist Combate Americas Fund Phase I, LP (the “New Commercial Entity” or the “NCE”) in raising $15 million in funding through the pooled, Regional Center EB-5 Immigrant Investor Visa Program (“EB-5 Program” or “EB-5”) administered by the United States Citizenship and Immigration Services (“USCIS”). The Company’s strategy is to leverage mun2’s highly targeted, 18-34 male demographic to launch pay-per-view events and other revenue streams—live events, merchandise, foreign TV, and mobile. The NCE is currently seeking $15 million of EB-5 investor capital. These funds, in conjunction with domestic investor capital, will be used to cover league costs, television production, live pay-per-View events, and the construction of the Company’s new headquarters in Miami, Florida.

Combate Americas Fund Phase I, LP (the “New Commercial Entity”) was created to facilitate a $15 million loan to Combate Americas, LLC (“Combate” or the “Company”) to fund the development of a Miami, Florida corporate headquarters equipped with a state-ofthe-art television, mobile facility and world-class training center.

Combate is a New York-based media and sports entertainment firm operating the first Spanish-language Latin American focused, Mixed Martial Arts (“MMA”) franchise in the United States. The Company’s business model includes the production of a reality series television programming, digital, mobile, and live events. The Company was created specifically to attract an underserved but very significant segment of MMA’s audience: Spanish-speaking Hispanic fans. With a vast increase in media exposure to meet the demands of die-hard fans, the sky is and continues to be the limit for this in-demand industry. Given these factors, IBISWorld projects the industry will grow at a steady pace through 2018. Investors will have a collateral interest in the intellectual property assets of the Company.
